Martial Arts Maniacs – Full Rights Submission & Intellectual Property Assignment Agreement
Effective Date: April 20, 2025

This Submission and Intellectual Property Agreement (the “Agreement”) is a legally binding contract between the individual or entity submitting content (the "Submitter") and Martial Arts Maniacs (the "Publisher"), a media and publishing entity in the field of martial arts journalism, education, and promotion. By submitting any content to the Publisher, the Submitter agrees to the terms of this Agreement, which governs the rights, ownership, and usage of the content in all formats.

Content: For purposes of this Agreement, “Content” refers to any and all materials submitted by the Submitter, including but not limited to written articles, essays, interviews, opinion pieces, blogs, instructional material, research, commentary, photographs, illustrations, images, video footage, audio recordings, transcripts, and any derivative works or adaptations, whether submitted digitally or physically.
Publisher: Refers to Martial Arts Maniacs, including its legal subsidiaries, partners, affiliates, and any successors, licensees, or assigns.

The Submitter hereby irrevocably assigns, transfers, and conveys to the Publisher all worldwide rights, titles, and interests in and to the submitted Content, including but not limited to:

• All copyrights and intellectual property rights in all media, formats, and channels now known or hereafter developed.
   
• The exclusive right to distribute, publish, modify, adapt, license, create derivative works, and exploit the Content in any manner and for any purpose, without any further approval, notification, or compensation to the Submitter.
   
• This assignment of rights is absolute, irrevocable, and in perpetuity, with no geographic or temporal limitations.
   

The Submitter represents and warrants the following:
Ownership: The Submitter is the sole and exclusive owner of the Content and has the full legal authority to grant the rights set forth in this Agreement.
Originality: The Content is original and has not been copied or reproduced from any third-party source, except for materials that are properly licensed or for which permission has been obtained.
No Infringement: The Content does not infringe upon any intellectual property rights, privacy rights, moral rights, publicity rights, or any other legal or equitable rights of any third party.
No Defamation or Obscenity: The Content is not defamatory, libelous, obscene, or otherwise unlawful under applicable laws.
Third-Party Materials: If the Content includes third-party materials (e.g., quotes, images, videos), the Submitter has obtained all necessary licenses, releases, or permissions to use such materials and is able to provide proof of such upon request.

The Submitter agrees to indemnify, defend, and hold harmless the Publisher, its officers, directors, employees, agents, and affiliates from any and all claims, liabilities, damages, losses, expenses (including reasonable attorney’s fees), and legal costs arising out of or relating to:

• Any breach of the representations, warranties, or terms of this Agreement.
   
• Any claim that the Content infringes upon or violates the intellectual property or legal rights of any third party.
   
• Any defamation, obscenity, or unlawful use of the Content.
   

The Publisher has sole discretion to publish, distribute, edit, modify, and use the Content in any form and through any medium, including but not limited to:

• Online platforms: Websites, social media, digital magazines, blogs, etc.
   
• Print media: Magazines, books, brochures, posters, etc.
   
• Multimedia formats: Video productions, podcasts, audio recordings, etc.
   
• Merchandise: Apparel, equipment, and other related products.
  The Publisher is under no obligation to use or publish the Content, and may choose to refrain from doing so at its sole discretion. If the Content is used or published, the Submitter agrees that no further approval, attribution, or compensation shall be due beyond the terms of this Agreement, unless otherwise specifically agreed to in writing.
   

To the maximum extent allowed by applicable law, the Submitter waives any and all moral rights related to the Content, including but not limited to:

• The right of attribution (the right to be identified as the author of the Content).
   
• The right to object to modifications, adaptations, or alterations of the Content.
  This waiver is effective to the fullest extent permitted by applicable law and ensures that the Publisher may freely use the Content without limitations.
   

Unless explicitly stated in a separate written agreement, the Submitter acknowledges and agrees that the Publisher shall not owe the Submitter any royalties, fees, advances, or any other compensation for the use, distribution, or publication of the Content.

To the fullest extent permitted by applicable law, the Publisher shall not be held liable for any damages, losses, claims, or expenses arising from the use, publication, or distribution of the Content. The Submitter acknowledges that the Publisher assumes no responsibility for any legal consequences resulting from the use of the Content.

The Publisher reserves the right to terminate this Agreement at any time and remove the Content from its platforms, including but not limited to instances where the Submitter breaches any representations, warranties, or terms contained herein. Upon termination, all rights granted to the Publisher under this Agreement shall cease.

The Submitter acknowledges that the submission of Content to the Publisher does not imply any endorsement, approval, or affiliation with the Submitter’s views, products, services, or brand. The Publisher does not guarantee any commercial use, exposure, or promotional treatment for the Content unless otherwise specifically agreed to in writing.

At the Publisher’s discretion, the Publisher may offer the Submitter the option to retain a non-exclusive license to the Content, in which case the Publisher and Submitter shall negotiate the terms of the non-exclusive arrangement.

The Publisher reserves the right to remove or retract the Content at its discretion. This may include, but is not limited to, instances where the Content violates the Publisher’s terms of service, includes false or misleading information, or becomes outdated. The Submitter understands and agrees to this provision.

The Publisher shall treat any personal data collected in accordance with the Publisher’s Privacy Policy. The Submitter consents to the collection, use, and storage of personal data as outlined in the Privacy Policy, which is incorporated into this Agreement by reference.

If any provision of this Agreement is found to be invalid, unenforceable, or contrary to law, such provision will be severed from this Agreement, and the remaining provisions will continue in full force and effect.

This Agreement represents the entire understanding between the parties with respect to the subject matter herein and supersedes all prior agreements, communications, and understandings. No amendments, changes, or waivers to this Agreement shall be valid unless made in writing and signed by both parties.

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Iowa. Any dispute arising out of or related to this Agreement shall be subject to the exclusive jurisdiction and venue of the courts of Iowa.

By submitting Content to Martial Arts Maniacs, the Submitter acknowledges that they have read, understood, and agreed to the terms of this Agreement. The Submitter also agrees that this Agreement governs the rights, ownership, and use of the submitted Content in perpetuity.
